Gifts and inheritances can both benefit from significant reliefs, but they do not have identical requirements or the same effect on accumulated gains. The analysis must take into account Inheritance and Gift Tax (ISD), personal income tax (IRPF) and, where relevant, other taxes.

Planning family business succession in Spain makes it possible to compare alternatives, provide for continuity of management and organise family relationships. An inheritance can also be prepared during your lifetime: passing the business on at death should not be confused with leaving the succession unorganised.

Key points

The 95% reduces the tax base, not the tax: the state 95% reduction in inheritance and gift tax applies to the part of the tax base that meets the requirements; it does not automatically mean paying 95% less tax or passing on all the business assets tax-free.

A gift defers the gain: a gift that meets article 20.6 of the Inheritance and Gift Tax Act can benefit from the gain not being included in the donor’s income tax. For the part covered, the recipient takes over the donor’s acquisition value and date: the gain is deferred, not wiped out.

Inheritance without the same wealth tax requirement: under the state rules for inheritances, heirs are not required to keep the right to the wealth tax exemption for ten years in the way a gift recipient is.

Regional rules do not change income tax: regional inheritance and gift tax benefits do not, on their own, alter state income tax. A five-year regional holding period does not automatically replace the ten-year period required for a gift under the state regime.

Tax requirements: distinguishing a sole-trader business from company shares

The starting point for the state relief is the exemption in article 4.Eight of the Wealth Tax Act (in Spanish). Its requirements differ depending on whether an individual’s business or shares in a company are being transferred.

Sole-trader business or professional practice. The assets and rights must be necessary for an activity carried on habitually, personally and directly that is the owner’s main source of income, applying the relevant calculation rules. A 5% or 20% stake is not required: those percentages refer to shareholdings in companies.

Shares in companies. The company’s main activity must not be the management of movable or real estate assets in the legal sense. At least a 5% individual stake, or 20% jointly with the family group defined by state law, is required: spouse, ascendants, descendants or second-degree collateral relatives, by blood, marriage or adoption. There must be genuine management functions with remuneration for them exceeding 50% of the person’s computable employment and business income. In the joint calculation, not every family member needs to perform management functions: you need to identify the person in the group who meets the requirements.

The exemption for shares is proportional to the value of the assets needed for the activity, net of related debts, relative to net equity. Having an operating company does not automatically make all its cash or investment portfolio exempt. This calculation, the rules that determine whether the company is an asset-holding company and the regional specifics of inheritance and gift tax must all be considered separately.

Lifetime gifts: requirements and effects

Under the state regime in article 20.6 (in Spanish), the 95% reduction is available for transfers to a spouse, descendants or adopted children of a business, practice or shares entitled to the wealth tax exemption. In addition, it requires the following:

A donor aged 65 or over, or with total permanent disability or severe disability. Not just any disability or incapacity will do.

The donor must stop performing management functions and receiving remuneration for them, if they did so. Other income is not prohibited in general; mere membership of the board does not in itself amount to performing management functions.

The recipient must keep what was received, and the right to the wealth tax exemption, for ten years, except in the event of their death. Nor may they carry out acts that substantially reduce the value of what was acquired.

These requirements belong to the state reduction and its link with income tax; they should not be confused with all the requirements of each regional reduction. Nor is the donor ceasing to manage the business, in itself, a general rule that determines the recipient’s future wealth tax exemption, which must be checked separately.

The donor’s income tax

Article 33.3.c) of the Income Tax Act (in Spanish) provides that there is no capital gain or loss on transfers that fall within its scope. Article 36 carries over the corresponding acquisition values and dates to the recipient. In addition, for assets the taxpayer allocated to their business after acquiring them, the law requires five years of uninterrupted business use before they are transferred.

You should not assume that the entire gain will escape tax if there are non-business assets. In its decision of 18 December 2023 (RG 00/03062/2021), the Central Economic-Administrative Court (TEAC) applies the deferral proportionally to the part linked to business assets. The composition of the balance sheet and the scope of the state relief must be reviewed, even if a broader regional reduction exists.

Inheritance: what changes compared with a gift

Article 20.2.c) provides for the state 95% reduction where the inheritance includes a business, practice or shares that meet the wealth tax exemption at the relevant time of death. It applies to the spouse, descendants or adopted children; if there are no descendants or adopted children, it can extend to ascendants, adoptive parents and collateral relatives up to the third degree. The deceased does not need to have been 65.

The state holding period is ten years, except in the event of the heir’s death, and there are restrictions on transactions that substantially reduce the value received. However, the heir is not required to keep meeting the wealth tax exemption during that period in the same terms as a gift recipient. A sale, reinvestment or restructuring must be examined specifically; regional reductions may set different continuity conditions.

No capital gain or loss is computed in the deceased’s income tax on the transfer at death. The heir takes the acquisition value resulting from the inheritance tax rules, not exceeding market value, with the adjustments required by law. The 95% reduction in inheritance tax does not mean that the future acquisition value is reduced to 5%.

The general deadline for filing inheritance tax on death is six months, which can be extended on request under the conditions set by regulation. This is a tax deadline: it does not mean that all civil issues, the division of the estate or family disputes must necessarily be resolved within those six months.

Which regional rules apply

In ordinary cases involving residents under the common regime, an inheritance is linked to the habitual residence of the deceased, and a gift of shares to that of the recipient. To determine the region of residence for inheritance and gift tax, the main rule looks at where the person spent the most days in the five years before the tax event. Checking the municipal register on the last day is not enough.

Gifts of real estate follow the location of the property. Situations involving non-residents, assets abroad or the Basque Country and Navarre (foral territories) require additional rules; you need to distinguish the authority to which the tax is paid from the rules that may apply.

Valencian Community

Valencian Act 13/1997 provides 99% reductions for certain transfers of businesses, practices and shares, with a five-year holding period and its own requirements. Its rules on family relationships and eligibility are not an exact copy of the state rules. In the special cases of retired transferors provided for by law, the 99% is kept if retirement took place at 65 or over, and a 90% reduction applies if it took place between 60 and 64.

There is also a 99% relief on the tax payable for acquisitions by the relatives covered by article 12 bis, including groups I and II. For gifts, the requirements of a public deed and, where applicable, evidence of the transfer and the source of the funds must be checked. A reduction of the tax base and a relief on the tax payable are not the same thing.

Catalonia

Book Six of the Catalan Tax Code generally maintains the 95% reduction for businesses, practices and shares, and 97% for shares in employee-owned companies (sociedades laborales), both for inheritances and for the gifts it covers. The holding period is five years, with the conditions of each type. Certain benefits extend to collateral relatives up to the third degree, and there are specific reductions for acquirers with an employment or professional link to the business.

A gift of money to descendants to set up or acquire a business, practice or shares benefits from a 95% reduction, up to a maximum reduction of €200,000, or €400,000 if the recipient has a disability of 33% or more, subject to the other legal requirements.

Catalan Act 11/2026 of 9 July, published on 13 July and generally in force from 14 July, repeals article 632-1.4, which treated certain gifts in contemplation of death with present transfer as lifetime acquisitions. The reform removes that equivalence for Catalan inheritance and gift tax; you need to check the nature of the act, its date and the requirements of the inheritance reductions. It does not automatically change state income tax.

The business reduction should also be compared with the general reliefs: article 633-4 sets incompatibilities for certain group I and II taxpayers who opt for certain reductions. Not all benefits can always be combined.

Community of Madrid

Madrid Act 3/2026 of 30 June on Support for Family Businesses came into force on 1 July 2026 and sets up its own regional 99% reductions for inheritances and gifts, with a five-year holding period and specific conditions. It extends the family circle to groups I, II and III and to fourth-degree collateral relatives; it also extends to the fourth degree the group used to calculate the joint 20% shareholding.

It can also cover other acquirers with an employment or service relationship of at least ten years and four uninterrupted years in management roles, among other requirements. The regional reduction for gifts does not include the state minimum age of 65. It does not, however, amount to an income tax exemption for the donor.

Madrid also allows certain cash and financial assets to be included in the reduction, up to the legal limit linked to undistributed profits from business activities in the year of the transfer and the previous ten years. This is not a general declaration of business use for all taxes. The Madrid reduction is incompatible with the corresponding state reduction, and the choice must be made within the filing period.

Regional improvements to inheritance and gift tax do not carry over to income tax

A region granting 99%, widening the circle of family beneficiaries or removing an age requirement does not change article 33.3.c) of the Income Tax Act. To apply that relief, the state requirements it refers to must be checked, even if a regional reduction has been chosen for inheritance and gift tax.

For example, a gift subject to Madrid’s rules, made by a 58-year-old without the required legal incapacity, may benefit from the regional relief but not from the state rule excluding the gain from income tax. If there is a gain, its income tax treatment will have to be calculated. Likewise, a sale before ten years must be reviewed even if the five regional years have already passed.

Gift vs inheritance: a comparison of the state regime

Criterion

Lifetime gift

Inheritance

Inheritance and gift tax reduction

95% if the requirements of art. 20.6 are met.

95% if the requirements of art. 20.2.c) are met.

Age of the transferor

65 or qualifying legal incapacity.

No minimum age required.

Transferor’s management role

Must stop managing, if they did, and stop being paid for it.

No prior cessation required for this reason.

Holding period

Ten years and the right to the wealth tax exemption, with legal exceptions.

Ten years, without the same requirement of a continued wealth tax exemption.

Transferor’s income tax

Gain not included if the state relief applies; its scope must be analysed.

No gain or loss computed on death.

Tax value for the acquirer

Takes over values and dates for the part covered.

Value under inheritance tax rules, not exceeding market value, with the required adjustments.

Planning

Allows the transition to be carried out and observed during your lifetime.

Can be prepared during your lifetime with the appropriate succession and corporate instruments.

Regional reductions can change percentages, family relationships and holding periods for inheritance and gift tax. They should be compared with this state table without confusing their effects with those of income tax.

Property and municipal capital gains tax

If urban land or a taxable real right is transferred directly, the Tax on the Increase in Value of Urban Land (municipal capital gains tax, or “plusvalía”) may arise, both on a gift and on an inheritance, subject to the applicable exclusions, exemptions and reliefs. Gifting shares in a company that owns property is not, in itself, equivalent to transferring its land and does not automatically trigger this municipal tax.

Family protocol, holding companies and succession agreements

A family protocol can help organise how family members join the management, remuneration, governing bodies and dispute resolution. It does not replace the tax requirements or guarantee continuity on its own. It should be coordinated with the articles of association, shareholder agreements and succession planning.

A holding company structure can make it easier to organise several companies, but it does not automatically create the family business exemption. Before restructuring, its purpose, the effective management, the management resources, the composition of the assets and the taxes on the transaction must all be analysed.

Whether a succession agreement (pacto sucesorio) is possible depends on the applicable civil law, not simply on living in a particular region. In conflicts between Spain’s different civil law systems, the decisive factor is civil residence (vecindad civil), with the relevant rules; international cases require further analysis. In addition, article 36 of the Income Tax Act sets a special carry-over rule if the beneficiary of a succession agreement with immediate effect sells within five years of the agreement or of the death of the transferor, if earlier, and the legal conditions on values are met.

Mistakes to avoid

Mixing up regimes: applying company shareholding percentages to a sole-trader business; confusing the state family group with the regional one; or failing to document effective management and its remuneration.

Calculating only the acquirer’s inheritance or gift tax and forgetting the donor’s income tax, non-business assets, holding conditions and the effects of a later sale.

Equating inheritance with a lack of planning or assuming that a gift eliminates family disputes. Civil and corporate organisation must go hand in hand with the tax analysis.

Frequently asked questions

Is it better to gift or to inherit the family business?

There is no universal answer. You need to compare the immediate cost, the accumulated gain, the tax value for a future sale, the requirements that can realistically be maintained and the family’s needs for control and liquidity.

Does gifting a business to my children always avoid income tax?

No. The relief in article 33.3.c) only applies when its conditions are met and to the extent that corresponds. A regional inheritance and gift tax benefit is not enough on its own, and the part of the value linked to non-business assets must not be overlooked.

Must I always keep the wealth tax exemption for ten years?

The state regime for gifts requires the right to that exemption to be maintained. The state reduction for inheritances does not impose the same requirement, although it has its own holding and value-preservation obligations. Regional rules must be examined separately.

Do Catalonia, Madrid and the Valencian Community offer the same?

No. They differ in percentages, beneficiaries, required continuity and compatibility with other benefits. The common reference to five years does not make their regimes identical, nor does it change state income tax.

What happens if a condition is breached?

You may have to pay the tax saved plus interest through the corresponding adjustment. Penalties are not automatic: they require their own legal grounds. You should also check whether the breach affects the relief applied to the donor’s income tax.

Planning ahead pays off whether you gift or inherit

A good decision is not based solely on the percentage announced by a region. It must calculate the overall cost, check the company’s real requirements and plan how the business will be run after the transfer.

At Riera Consulting we advise on family business succession: we can review your business and family structure, compare gift and inheritance and coordinate the tax review with corporate and succession planning.

{"@context":"https://schema.org","@type":"FAQPage","inLanguage":"en-GB","mainEntity":[
{"@type":"Question","name":"Is it better to gift or to inherit the family business?","acceptedAnswer":{"@type":"Answer","text":"There is no universal answer.
